Terms of Service

Welcome to VersPad. By creating an account or using the service, you agree to these Terms of Service ("Terms"). If you don't agree, please don't use the service.

1. Who We Are

VersPad is a sole trader business operating under the trading name VersPad, based in Victoria, Australia. VersPad provides an AI-assisted songwriting workspace. These Terms form a binding agreement between you and VersPad.

These Terms are governed by the laws of Victoria, Australia. Nothing in these Terms limits any rights you may have under the Australian Consumer Law.

Other policies

These Terms should be read together with our Privacy Policy and Refund Policy, each of which is incorporated into and forms part of these Terms.

2. Your Account

• You must be at least 13 years old to use VersPad. If you are under 18, you may only use VersPad with the express consent of a parent or guardian, and by using the service you confirm that such consent has been given.
• You are responsible for keeping your password secure and for all activity that occurs under your account.
• One account per person. You may not create additional accounts to circumvent any limits, bans, or free trial restrictions.
• We may suspend or terminate accounts that violate these Terms, with or without notice depending on severity.

Minors

If we discover that a user under 18 is using VersPad without verifiable parental or guardian consent, we reserve the right to terminate the account immediately and delete any associated content and data.

Communications

By creating a VersPad account you consent to receiving essential service-related communications from us, including billing notices, security alerts, and updates to these Terms. These communications are a necessary part of the service. You may manage marketing and promotional communications separately in accordance with our Privacy Policy.

3. Subscriptions, Billing & Refunds

VersPad offers a free tier, a free trial, and two paid subscription plans billed monthly or annually. All prices are listed in US dollars (USD) unless otherwise stated at checkout.

Free tier & free trial

• The free tier is available indefinitely at no cost.
• The free trial gives you time-limited access to paid features. No payment details are required during the trial. At the end of the trial period, continued access to paid features requires upgrading to a paid plan.

Paid plans

• Paid plans renew automatically (monthly or annually) until cancelled. You can cancel anytime from your billing portal.
• Cancellation takes effect at the end of the current billing period; you retain access until then.
• Prices, token allowances, and features may change with reasonable notice provided by email or in-product.
• You are responsible for any applicable taxes not collected at checkout.

Billing disputes

If you believe you have been incorrectly charged, you must notify us via the contact page within 60 days of the charge date. Disputes raised outside this window may not be investigated, except where required by the Australian Consumer Law or other applicable law.

Refunds

All payments are final and non-refundable unless otherwise determined by VersPad. See our Refund Policy for the situations where we may consider a refund, and the situations where we usually won't. Nothing in this section limits any rights you may have under the Australian Consumer Law.

4. Acceptable Use

You agree not to use VersPad to:

• Generate content that is illegal, hateful, harassing, sexually exploitative of minors, or that incites violence.
• Deliberately reproduce, closely mimic, or plagiarise existing copyrighted lyrics or song structures. VersPad provides an AI-assisted similarity check as a courtesy tool, but you are solely responsible for ensuring your work does not infringe any third party's intellectual property rights before publishing or distributing it.
• Infringe anyone's intellectual property, privacy, or publicity rights.
• Attempt to reverse-engineer, scrape, or overload the service.
• Resell, sublicense, or proxy access to VersPad or the underlying AI providers.
• Use the service to train competing AI models.
• Create additional accounts to circumvent limits, bans, or free trial restrictions.

Trial abuse

If we detect abuse of the free trial, including but not limited to the creation of multiple accounts to access trial benefits repeatedly, we reserve the right to terminate all associated accounts and permanently delete any content created during the period of abuse.

VersPad is not responsible for any claim arising from content you generate, publish, or distribute using the service.

5. Your Content & Ownership

You retain all rights to the prompts, lyrics, and other content you create using VersPad. For the purposes of these Terms, "commercial use" means any use of content that generates direct or indirect revenue, including but not limited to selling, licensing, or distributing lyrics through streaming platforms, sync licensing, live performance, or any monetised digital channel.

• Free tier and free trial users may use their output for personal, non-commercial purposes only.
• Paid subscribers are granted full commercial rights to lyrics and content they create using VersPad, subject to the AI disclaimer in Section 6.

By using VersPad, you grant us a limited, worldwide, royalty-free licence to host, process, and display your content solely to the extent necessary to operate and deliver the service to you. We will not use your content for any other purpose.

AI-generated output is not guaranteed to be original, unique, or free of similarity to existing works. You are responsible for clearing and using any output you choose to publish or distribute commercially.

Feedback

If you submit ideas, suggestions, or feedback about VersPad — whether through the contact page, in-product, or any other means — that feedback is non-confidential and VersPad may use it freely for any purpose, including improving the service, without any obligation or compensation to you.

6. AI Disclaimer

VersPad uses third-party AI models to assist your writing. By using the service you acknowledge and agree that:

• AI-generated output may be inaccurate, incomplete, or occasionally offensive. Always review output before using it.
• Output is not guaranteed to be original or unique. Accidental similarity to existing songs, lyrics, or other works may occur without any intent to copy on the part of VersPad or the user. Such similarity does not constitute an admission of infringement by either party.
• We make no warranty that any output is copyrightable or suitable for any particular purpose, commercial or otherwise.
• The availability and capability of AI features may change as third-party providers update or discontinue their services. VersPad is not liable for any degradation or loss of AI functionality caused by third-party providers.

Always review AI-assisted work carefully before publishing or distributing it commercially.

7. Service Availability

We aim for high availability but do not guarantee uninterrupted or error-free access to VersPad. Features, token allowances, and capabilities may change or be discontinued at any time. We may impose rate limits or usage caps to protect the service.

From time to time, VersPad may be unavailable due to maintenance, updates, or circumstances outside our control, including outages or changes by third-party infrastructure or AI providers. VersPad is not liable for any loss or inconvenience caused by such third-party outages or service interruptions.

8. Termination

By you

You may stop using VersPad and delete your account at any time via your account settings. Upon deletion, your content and data will be removed from our systems within a reasonable period, except where retention is required by law.

By us

We may issue a warning for breaches of these Terms before taking further action. For serious or repeated breaches, we reserve the right to suspend or terminate your account immediately and without notice. Serious breaches include but are not limited to illegal activity, abuse of the free trial, or conduct that harms other users or the service.

Content removal

We reserve the right to remove or disable access to any specific content that violates these Terms without terminating the associated account. Where practical, we will notify the account holder of the removal and the reason for it.

Suspension appeals

If your account is suspended and you believe this was made in error, you may submit an appeal via the contact page within 14 days of the suspension. We will review all appeals submitted in good faith and respond within a reasonable timeframe.

Inactive accounts

Accounts that have been inactive for 24 months or more may be suspended or permanently deleted, along with all associated content and data. Where possible, we will provide advance notice via email before taking this action.

Effect of termination

Upon termination, your right to access VersPad ceases immediately. Any outstanding payment obligations remain due. Sections of these Terms that by their nature should survive termination — including ownership, disclaimers, and liability — will continue to apply.

9. Disclaimers, Liability & Indemnification

No warranties

The service is provided "as is" and "as available" without warranties of any kind, either express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

Limitation of liability

To the maximum extent permitted by law, VersPad is not liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity arising out of or in connection with your use of the service.

Liability cap

Our total liability to you for any claim arising out of or relating to these Terms or the service is limited to the total amount you paid to VersPad in the 12 months preceding the claim.

Indemnification

You agree to defend, indemnify, and hold harmless VersPad and its officers, employees, contractors, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to your use of the service, your content, your violation of these Terms, or your infringement of any third party's rights. VersPad reserves the right to assume exclusive defence of any matter subject to indemnification by you, at your expense.

Australian Consumer Law

Nothing in this section excludes, restricts, or modifies any right or remedy you may have under the Australian Consumer Law, including any consumer guarantee that cannot lawfully be excluded. Where liability cannot be excluded but can be limited, our liability is limited to the maximum extent permitted by law.

10. Changes to These Terms

We may update these Terms from time to time. Where changes are material, we will notify you via an in-product notification before the changes take effect. The updated Terms will display the revised "last updated" date at the top of this page. A current, dated version of these Terms will always be publicly accessible on the VersPad website.

Your continued use of VersPad after changes take effect constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you should stop using the service and delete your account.

11. Governing Law & Disputes

These Terms are governed by the laws of Victoria, Australia. You agree that the courts of Victoria have non-exclusive jurisdiction to resolve any dispute arising out of or relating to these Terms or the service.

Informal resolution

Before initiating any legal proceedings, you agree to contact us first via our contact page and give us 30 days to attempt to resolve the dispute informally. We will make a genuine effort to resolve any issue raised in good faith. This requirement does not limit any urgent or interim relief either party may seek from a court.

Consumer rights

Nothing in this section limits any rights you may have under the Australian Consumer Law or other applicable consumer protection legislation.

13. Intellectual Property Complaints

VersPad respects the intellectual property rights of others and expects users to do the same. If you believe that any content on VersPad infringes your copyright or other intellectual property rights, please notify us via the contact page with the following information:

• A description of the copyrighted work or intellectual property you believe has been infringed.
• A description of where the allegedly infringing content appears on VersPad.
• Your contact details so we can respond to your complaint.

We will investigate all notices submitted in good faith and take appropriate action where infringement is confirmed.

14. General

Force majeure

VersPad is not liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to natural disasters, acts of government, power failures, internet outages, or failures of third-party infrastructure.

Severability

If any provision of these Terms is found to be invalid, unlawful, or unenforceable by a court of competent jurisdiction, that provision will be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible. The remaining provisions of these Terms will continue in full force and effect.

Entire agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and VersPad regarding your use of the service. They supersede all prior conversations, representations, understandings, or agreements between you and VersPad, whether written or oral.

Waiver

No failure or delay by VersPad in exercising any right or enforcing any provision of these Terms will constitute a waiver of that right or provision. A waiver on one occasion does not constitute a waiver on any future occasion.

Headings

Section headings in these Terms are for convenience only and do not affect the interpretation of any provision.

Language

These Terms are written in English. If they are translated into any other language, the English version will prevail in the event of any inconsistency or dispute.

Recording and reproduction of the service

You may not record, screenshot, scrape, or otherwise reproduce the VersPad interface, design, or underlying code for any purpose other than your own personal reference, without our prior written consent.
